Terms of Service
These Terms of Service (the "Terms") govern your use of Nodal Care Management ("Nodal Care" or the "Service"), operated by Social Fabric Apps ("we," "us," "our"). These Terms are a contract between you, an Authorized User, and us; they are separate from the Master Services Agreement that we sign with the agency, fiduciary practice, or other organization that gave you access to the Service (your "Organization"). Click-through acceptance is required at first sign-in.
Effective date: May 3, 2026 Last updated: June 16, 2026
1. Who these Terms are for
These Terms apply to you if you are an "Authorized User" of Nodal Care, which means you fall into one of the following roles:
- OWNER or ADMIN — full administrative access to your Organization's tenant.
- MANAGER — scheduling, client and employee management, and reports (no banking access).
- CAREGIVER — your assigned shifts, clock-in/out, shift notes, and mileage.
- FAMILY — read-only portal access to a single client whose record you have been authorized to view (this role is also used by clients viewing their own information).
Your access is granted by your Organization. If you stop having that role with your Organization, your Organization can disable your access at any time.
2. Acceptance of these Terms
By signing in to the Service, you accept these Terms. If you do not accept them, do not sign in.
The first time you sign in, you will be asked to click "I agree." Your click is your electronic signature under the federal ESIGN Act and applicable state UETA laws, and has the same legal effect as a handwritten signature.
If you are using the Service on behalf of your Organization, you confirm that you have the authority to do so. Your Organization is responsible for the people it gives access to; your individual responsibilities under these Terms are personal to you.
3. Your account
3.1. Credentials. You will sign in using credentials provided by your Organization or that you create through the Service. You agree to (a) keep your credentials confidential, (b) not share them, and (c) tell your Organization or us promptly if you suspect they have been compromised.
3.2. Multi-factor authentication. We strongly encourage you to enroll a passkey or other second factor where the Service offers it.
3.3. Accuracy. You agree to provide accurate information when prompted (for example, when entering shift notes, clock-in/out times, mileage, or client information) and to update inaccurate information when you become aware of it.
3.4. One person per account. Accounts are personal. You may not let another person use your account. If two people need access, your Organization should provision two accounts.
4. Acceptable use
You agree to use the Service only for legitimate work or care-coordination purposes within the scope of your role, and not to:
(a) access information you are not authorized to access (the Service uses role-based controls; do not attempt to circumvent them);
(b) misuse, copy, redistribute, scrape, or reverse-engineer the Service;
(c) upload malware or harmful code;
(d) use the Service to harass, defame, or harm any person;
(e) use the Service in violation of any law, including HIPAA, state professional-licensing laws, or any privacy law; or
(f) use the Service to provide a competing service.
You are responsible for the content you enter or upload. If your Organization is investigating a misuse complaint, your Organization controls how that investigation proceeds; we will cooperate with your Organization in accordance with our agreement with them.
5. The Service
5.1. Description. Nodal Care is a Software-as-a-Service platform that helps small home care agencies and professional fiduciaries run their day-to-day operations. The features available to you depend on your role and what your Organization has enabled.
5.2. Updates. We may add, change, or remove features. We will not materially reduce the core functionality during your Organization's active subscription period except as required by law or to address a security risk.
5.3. Beta features. From time to time we may offer beta or preview features. Beta features are clearly marked and are provided "as is" with no service-level commitment.
6. Health information and privacy
6.1. Your role. Information you enter about a client of your Organization (e.g., a shift note, observation, or care-plan entry) may be Protected Health Information ("PHI") under HIPAA. Your Organization is responsible for HIPAA compliance toward its clients, including providing required notices of privacy practices and obtaining authorizations.
6.2. Our role. We act as your Organization's "Business Associate" under HIPAA. The contract between us and your Organization (the "Master Services Agreement" and "Business Associate Agreement") sets out our obligations. Our handling of your personal information (your account data, login activity, and similar) is described in our Privacy Policy.
6.3. Family/Client portal users. If you have access through the Family/Client portal, you can see information your Organization has chosen to make visible (e.g., scheduled visits, billing, receipts, and shared documents). You should not assume the portal contains the complete clinical record. For clinical questions, contact the Organization or appropriate clinician.
6.4. Care recipients. The Service is used to coordinate care for adults, primarily seniors. Care recipients do not create or use accounts; access is granted by your Organization to authorized adults. Our handling of any information relating to children is addressed in the Privacy Policy.
7. AI-assisted features
The Service includes AI-assisted features such as suggested schedules, summarized leads, extracted to-dos from shift notes, narrative generation for fiduciary reports, and document/statement OCR.
7.1. Decision support, not decision-making. AI suggestions are for your review. A Manager reviews suggested schedules; a Fiduciary reviews extracted bank-statement transactions before approval. The Service is not a medical device and does not provide clinical decision support or medical advice.
7.2. Review your work. Always review AI-generated output for accuracy before relying on it. AI can make mistakes, including factual mistakes that look authoritative.
7.3. Don't be surprised. AI features may be invoked for content you enter (e.g., a shift note), so do not enter information into the Service that you would not be comfortable being processed by an AI feature your Organization has enabled. We do not use the content you enter to train AI models. AI features that touch Protected Health Information are configured to use HIPAA-eligible AI subprocessors with no-training contractual restrictions; until that configuration is in place for a given AI feature, that feature is either disabled or operates only on de-identified inputs.
8. Your content
8.1. Ownership. Your Organization owns the content it and its Authorized Users put into the Service ("Customer Content"). We process it on your Organization's behalf.
8.2. License to us. By entering Customer Content into the Service, you grant us the limited license described in our agreement with your Organization to host, process, transmit, and display it as part of running the Service.
8.3. Your contact information. Information about you (name, email, phone, role, login activity) is Personal Information that we process per our Privacy Policy.
9. Mobile and offline use; EVV / GPS
The Service is delivered as a Progressive Web App and may use:
(a) GPS / location data during electronic visit verification (EVV) clock-in/out. Your Organization sets the EVV policy. By using EVV features, you consent to your location being recorded at the moments you clock in and out, in accordance with applicable law.
(b) Camera and microphone if your role uses features that require them (e.g., capturing a photo of a receipt or a digital signature).
(c) Offline mode caching limited data on your device. If your device is lost or stolen, your Organization should be able to remotely revoke your account; tell them right away.
10. Intellectual property
The Service, the Documentation, and our trademarks are owned by Social Fabric Apps. Nothing in these Terms transfers any of those rights to you.
11. Feedback
If you give us suggestions or feedback, we may use it freely without owing you anything. We will not identify you in connection with feedback without your consent.
12. Termination and suspension
12.1. By your Organization. Your Organization can disable your access at any time.
12.2. By us. We may suspend or terminate your access immediately if we reasonably believe you have violated §4 (Acceptable use) or that your access poses a security or legal risk. We will tell your Organization, except where prohibited by law.
12.3. After termination. After your access ends, you have no further rights to use the Service. The provisions that by their nature should survive termination (including §10 (Intellectual property), §11 (Feedback), §13 (Disclaimers), §14 (Liability), and §16 (Disputes)) survive.
13. Disclaimers
13.1. "As is." EXCEPT FOR ANY WARRANTIES THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13.2. Not medical, legal, or financial advice. THE SERVICE IS A PROCESS-AUTOMATION TOOL. IT DOES NOT PROVIDE MEDICAL, CLINICAL, LEGAL, OR FINANCIAL ADVICE. YOU MUST USE YOUR OWN PROFESSIONAL JUDGMENT (AND THE JUDGMENT OF QUALIFIED PROFESSIONALS WHERE APPROPRIATE) WHEN MAKING DECISIONS THAT AFFECT A CLIENT'S CARE OR FINANCES.
14. Limitation of liability
14.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). YOU AGREE THAT THIS CAP IS REASONABLE BECAUSE THE SERVICE IS PROVIDED TO YOU AT NO COST DIRECTLY FROM US (YOUR ACCESS IS PAID FOR BY YOUR ORGANIZATION).
14.2. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.
14.3. Carve-outs. The cap and exclusions do not apply to: (a) liability that cannot be limited as a matter of law (for example, in some states, gross negligence, willful misconduct, or fraud); or (b) a breach of your privacy rights where applicable state consumer-protection or privacy law prohibits a limitation of this kind (for example, where unconscionability or specific consumer-protection statutes set the cap aside).
15. Indemnity (you to us)
You will defend, indemnify, and hold harmless Social Fabric Apps from any third-party claim arising from (a) your use of the Service in breach of §4 (Acceptable use), (b) content you upload that you did not have the right to upload, or (c) your violation of any law in connection with your use of the Service.
16. Disputes
16.1. Informal resolution. If you have a dispute with us, please contact us at info@nodalcare.com first. We will use good-faith efforts to resolve it.
16.2. Arbitration. If we cannot resolve a dispute informally within sixty (60) days, the dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect, before a single arbitrator. The arbitration will be seated in St. Paul (Ramsey County), Minnesota, or conducted by remote / video means at the arbitrator's discretion. Each party waives the right to a jury trial.
16.3. Small-claims carve-out. Either party may bring an individual claim in small-claims court if it qualifies.
16.4. No class actions. Disputes will be resolved on an individual basis only. You waive your right to participate in a class, collective, or representative action.
16.5. Opt-out. If you do not want to be bound by §16.2 (Arbitration) and §16.4 (No class actions), you may opt out by emailing info@nodalcare.com within thirty (30) days after first accepting these Terms, with the subject line "Arbitration opt-out." Opting out does not affect any other provision.
17. Governing law
These Terms are governed by the law of the State of Minnesota, without regard to conflicts-of-laws principles.
18. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will give you notice in-product or by email and require re-acceptance at next sign-in. Continuing to use the Service after the effective date of a change means you accept the change.
19. Notices
We may give you notice through the Service or by email to the address associated with your account. You may give us notice at info@nodalcare.com.
20. Miscellaneous
20.1. If any provision of these Terms is unenforceable, the rest stay in effect.
20.2. Our failure to enforce a provision is not a waiver of our right to enforce it later.
20.3. You may not assign these Terms. We may assign them in connection with a merger or sale of all or substantially all our assets.
20.4. Entire agreement (between you and us). These Terms and the Privacy Policy are the entire agreement between you and us about your use of the Service. The agreement between us and your Organization is separate.
